The shape of how we work together. Every project is also covered by a written agreement signed before any work starts; these terms set the baseline.

About these terms
These terms apply to your use of this website and to the services provided by Downunder Web Services (ABN 71 643 943 086) (“we”, “us”, “our”). By using this site or engaging us, you agree to them.
For any paid project or hosting, a separate written agreement and quote also apply. If anything in that agreement conflicts with these terms, the signed agreement wins.
Quotes and proposals
Quotes are based on the brief you give us and are valid for 30 days unless we say otherwise. Work begins once you accept a quote in writing and any required deposit is paid. A quote is an estimate of an agreed scope, not an open-ended commitment to unlimited work.
Scope and changes
We will agree the scope of each project up front. If you want to add or change things along the way, that is fine; we will quote the extra work and adjust the timeline before doing it. We will not quietly bill you for changes you have not approved.
Fees and payment
- Project fees are set out in your quote, in Australian dollars.
- Projects usually run on a deposit plus milestone payments, with the balance due before launch.
- Hosting and ongoing services are billed monthly in advance.
- Invoices are due within the period stated on the invoice. Late or unpaid accounts may pause work or hosting until they are settled.
Hosting and ongoing services
Hosting runs on our own NVMe servers in Australia, across Sydney, Melbourne, Brisbane, Perth, Adelaide. Plans are month to month with no lock-in. We look after monitoring, security patching and backups as described for your plan. You can cancel hosting with reasonable notice; we will help you move your site and data out cleanly.
We aim for high uptime but do not guarantee uninterrupted service. Planned maintenance is scheduled to minimise disruption.
Your responsibilities
When we work together, you agree to:
- Provide content, access and feedback in good time so the project can keep moving.
- Make sure you own or have the rights to any text, images or material you give us.
- Use anything we build lawfully, and not for spam, malware or illegal content.
- Keep your portal login details secure.
Intellectual property and ownership
Once a project is paid in full, you own the custom code, design and content we produce for you, along with your data and domain. They are your asset.
Some elements may rely on third-party or open-source components that keep their own licences, and we keep ownership of our internal tools, libraries and know-how. Unless you ask us not to, we may show the finished work in our portfolio and case studies.
Third-party services
Projects often connect to outside services such as payment processors, email delivery, mapping or accounting tools. Those services have their own terms and pricing, and we are not responsible for their availability or changes. We will always tell you what a build depends on.
Warranties and liability
We take care to build solid, working software, and we will fix genuine defects in our work for a reasonable period after launch. Beyond that, the site is provided on an “as is” basis.
Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded. To the extent the law allows, our total liability for any claim is limited to the fees you paid us for the work the claim relates to, and we are not liable for indirect or consequential loss such as lost profits or data.
Confidentiality
We keep your business information confidential and use it only to do the work. We expect the same respect for any non-public methods, pricing or materials we share with you.
Termination
Either of us can end an engagement in line with the signed agreement. If a project ends early, you pay for the work completed up to that point, and you keep ownership of anything already paid for. Hosting can be cancelled at any time with reasonable notice.
Governing law
These terms are governed by the laws of Australia and the state in which we operate. Any dispute will be dealt with in the courts of that jurisdiction.
Changes to these terms
We may update these terms as the business changes. The date at the top shows when they were last revised. Continued use of the site after a change means you accept the updated terms.
